TERMS OF BUSINESS AGREEMENT
BETWEEN
GLOBAL NETWORK RECRUITMENT LIMITED
(Service Provider)
and

(The Client)
This TERMS OF BUSINESS AGREEMENT (the “Agreement”) entered into by and between
Global Network Recruitment Ltd also known as GNR Ltd and, or gnrapp the owner(s) and
operator(s) of the website(s) www.gnr-app.com and www.gnr-app.co.uk (the “Global Network
Recruitment Ltd”);(the “Service Provider”) with address at 57 Flat 8, Foscote Road, Hendon, London,
United Kingdom, NW4 3SE, hereinafter referred to as Global Network Recruitment Ltd, and———–
— with address at —————, hereinafter referred to as Client, for Bespoke (“Custom”)
Recruitment Service purposes, terms, and conditions:
1.0 GENERAL PROVISIONS:
1.1 For the period that meets the Terms of Business Agreement, with access granted by Global Network
Recruitment Ltd for Bespoke (“Custom”) or Standard Recruitment Service the Client shall utilize the
facilities, features, functions, and services provided, via or through the website(s) www.gnr-app.com or
www.gnr-app.co.uk for the purpose of pre-selecting, recruiting, processing, and documenting of The
Candidate(s) registered on the website(s) www.gnr-app.com or www.gnr-app.co.uk for the purposes of
The client making a list or evaluation or directly or indirectly contacting selected candidate(s) for further
evaluation of skills or experience or qualification(s) or education or due diligent checks or suitability or
invitation for face-to-face or telephone or video call interviewing assessment or series of tests for potential
job opportunity the Client has. This Section 1.1 Is also confirmation that Standard Recruitment Service(s)
accessed via only the website(s) www.gnr-app.com will always be available as a limited-service compared
to Bespoke (“Custom”) Recruitment Service(s). Also see Section 1.2, Section 1.3, Section 1.4, Section 2.1
and Section 2.2
1.2 The access to the website(s) www.gnr-app.com may not be required or apply or not granted or may
be restricted or limited to the Client in case(s) where Client’s chosen Bespoke (“Custom”) Recruitment
Service Requirement(s) can be provided via email or telephone or messaging or chat or images or postal or
fax or scan or other Customer Relation Management System(s) Global Network Recruitment Ltd chooses.
If the Client requires full access to the website www.gnr-app.com this would be chargeable via the website(s)
www.gnr-app.com under separate terms and conditions applying to the use of services and products via the
website(s) www.gnr-app.com or www.gnr-app.co.uk
1.3 For Bespoke (“Custom”) Recruitment Services, Global Network Recruitment Ltd via the website(s)
also referred to as (the “web/app”) www.gnr-app.com or www.gnr-app.co.uk or via internal database shall
make available to the Client, prescreened applicant(s) or candidate(s) listing that shall have gone through
Global Network Recruitment Ltd’s pre-screening cross-examining (“interview”) and due diligent check
confirming the right to work in the country of employment, qualification(s), education, experience, skill,
proof of address and proof of identity as Client requisitioned but the Client shall approve the final list of
selected candidate(s) for Client’s own subsequent due diligent check before deployment and that selection
shall satisfy the requirements of the Client for all intent and purposes.
1.4 For Bespoke (“Custom”) Recruitment Services, Global Network Recruitment Ltd will endeavor to
provide to the Client, Candidate(s)’s copy or copies of the original certified document’s such as Passport
or applicable ID card or Driving License or Birth Certificate to show as evidence of proof of identity or an
official applicable or qualifying Government Agency’s or State’s letter or Card of Residence to show as
evidence of right-to-work in the country of employment, and copy or copies of the original certified
education institute(s)’s email(s) or letter(s) or document(s) or article(s) or Certification(s) to show as
evidence of qualification(s) attained by the Candidate(s) or show as evidence of Candidate(s)’s
enrollment(s) or membership(s) into the applicable education institute(s), and copy or copies of the original
qualifying reference email(s) or letter(s) or document(s) or article(s) from the Candidate(s)’s previous
relevant work history as evidence of work experience or as evidence of previous employment with
applicable company or business(es) and copy or copies of the original certified utility bill(s) or invoice(s)
or bank statement(s) or applicable insurance letter as evidence of proof of address.

2.0 SERVICE LIMITIMITAION AND LIABILITY:
2.1 Global Network Recruitment Ltd.’s Services, Tools, Functions, and Features generally accessed via
the website www.gnr-app.com or www.gnr-app.co.uk or telephone or software or email or chat or video or
images or sound or scan or any written form or other communication types may not be available or maybe
available temporary or delayed or available as basic or limited or restricted to the Client and in some case(s)
existing or new services may be removed or added or upgraded or updated without prior warning. Global
Network Recruitment Ltd does not accept liability for any damages or loss of income or loss in revenue or
taxes or lawsuits as a result of limited or no access to our services and products Client may experience.
2.2 Global Network Recruitment Ltd.’s Services, Tools, Features, and Functions include but not limited
to candidate(s) recruitment information services, due diligent check, CV viewing, job posting, meetings
scheduling plan, reviewing, chat, psychometrics tests, messaging, emailing, postal, candidate listings,
selection, prescreening, assessment, examination, interviewing, processing, documentation, mandatory
briefing orientation on the working and living conditions in the country of employment, job description
and employer details.
3 FEES AND TERMS OF PAYMENT:
3.1 For Standard Recruitment Service, Client shall pay fees and charges as indicated on the website
www.gnr-app.com or www.gnr-app.co.uk to Global Network Recruitment Ltd either by the initial payment
details used at time of registration, direct debit, bank transfer, or other agreed with alternative qualifying
payment methods at the sum relevant to the chosen Service Package selected by the Client for the services
provided or to be provided. Any additional charges and fees incurred for services not covered by the cost
breakdown of the initial subscription option chosen (“Service Package”) will be chargeable to the Client
separately and an itemized bill or invoice will be presented to the Client for full settlement within 5
working days. This Section 2.1 may not apply if the Client chosen service requirement does not require or
grant Client access or full access to the website www.gnr-app.com in order for Global Network
Recruitment Ltd to fulfill or deliver Client’s service requirement(s). Also see Section 1.1, Section 1.2 and
Section 1.3 and Section 1.4 under General Provisions of this Terms of Business Agreement.
3.2 For Bespoke (“Custom”) Recruitment Service for Full-time, or Contract or Temporary or Freelance
candidate(s)/employee(s) placed or supplied or recruited or hired or provided either fully or partially
processed and assessed in full or partly by Global Network Recruitment Ltd on behalf of the Client as
(“Placement”), a———– fee charge of each Full-Time or Contract or Temporary or Freelance
Candidate(s)/employee(s)’s annual salary rate (“Placement Fee”) will apply and this will be chargeable to
the Client when candidate(s) has been offered/ or secured placement with the Client from day one (1) of
formal candidate(s)’s appointment. An invoice will be submitted to the Client within one (1) month or thirty
(30 days) of candidate(s) placement confirmation with full payment expected within a maximum of sixty
(60) days from the date of The Candidate’s joining. The transaction is completed when full payment has been
received by Global Network Recruitment Ltd from the Client.
3.3 Client will endeavor to avoid any late payment(s) to avoid possible late fees and charges as interest.
3.4 All fees and charges will be paid in (write applicable currency) via accepted and applicable
electronic bank transfer in line with applicable laws and regulations in both parties’ s jurisdictions.
3.5 That Global Network Recruitment Ltd shall not be liable for any costs or payments or taxes or
insurance or pension or damages inflicted or incurred or suffered or owed by or between Client and
Candidate(s) or third party during or after the employment or placement or due to any sudden termination
of employment between the Client and the Candidate(s).
3.6 Refund(s) or withholding of payment(s) request(s) will be open for review during only two ( 2)
months or ( 60 days) of continuous employment from the date of the Candidate(s) joining.
4.0 THIS TERMS OF AGREEMENT AND FUTURE TERMS OF AGREEMENT
4.1 This Terms of Business Agreement shall be seen as a separate term of the agreement to future terms of
business agreement(s) not related to this Terms of Business Agreement(s) that Client and Global Network
Recruitment Ltd will or may choose to engage in the future. However, this Terms of Business Agreement
must be seen in conjunction with our general applicable Terms and Conditions, Disclaimer, Privacy Policy
and Cookies Policy in relation to Data Protection, Privacy Policy, Use of Data, Cookies, Third Party
Hyperlinks, Liability, Intellectual Copy Rights, Non-Disclosure Agreement(s) and must not be seen as a
separate document.
5.0 SOLICITING
5.1 That for a period of twelve (12) months from the date The Candidate was introduced by Global
Network Recruitment Ltd to Client, the Client shall not solicit, recruit, or hire or employ directly or
indirectly candidates sourced or introduced to the Client through or by Global Network Recruitment Ltd
or via www.gnr-app.com without formally informing Global Network Recruitment Ltd in writing, within
or out, or beyond the period governed, or covered by the terms of business agreement. If so, this is
prohibited and considered a serious breach of Terms of Business Agreement and is legally liable. This
Section 3.4 shall not apply in the case that The Candidate referred by Global Network Recruitment Ltd to
The client has already been referred to the Client by a third party (another vendor), internal sources, is already in
Client’s database, or has already responded to any of the recruitment advertisements for similar positions
or otherwise, the claim for Placement Fee shall not be entertained by the Client. This Section 3.4 will
apply if the Client fails to inform Global Network Recruitment Ltd within 24 hours of any previous
Candidate(s)’s referral(s) or recommendation(s) or of existing Client’s database or any Candidate(s) who
responded to the Client’s recruitment advertisement matching Global Network Recruitment Ltd.’s
preselection or prescreening Candidate(s) listing submitted to Client by Global Network Recruitment Ltd
for consideration or otherwise, the claim for Placement Fee shall be payable to Global Network
Recruitment Ltd.
5.2 That neither party shall, during the term of this Agreement and for an additional period of one (1)
month immediately following the expiry or earlier termination of this Agreement, directly or indirectly,
solicit or attempt to solicit; employ or attempt to employ any of the other party’s employees, including
the Candidate(s) nominated or referred by the Global Network Recruitment Ltd who have accepted offer
from the Client, in any capacity such as contractor, consultant, director, advisor, expert, for reward or
otherwise or shall also not refer any of such employees to any other third party.
6.0 TRAVEL ARRANGEMENT:
6.1 The Client or successful candidate(s) may solely be responsible for and bear expenses of securing entry
Visa/Work Permit/Passport/ID/National Insurance/Right to work/Social Security/Green Card or equivalent
documentation and ticketing.
7.0 TERMS OF EMPLOYMENT CONTRACT
7.1 Once Candidate is confirmed/selected by Client, the terms of employment shall be the matter for the
Candidate(s) and the Client.
7.2 The renewal or termination of the Candidate(s)’s employment contract, once Candidate has been appointed
by the Client shall be the matter for the Client and the Candidate(s).
7.3 That the employment performance assessment or development or review or training process of the
Candidate’s efforts or performance or capabilities after Candidate(s) has been selected through the
recruitment process and Candidate(s) has been appointed shall be the matter for the Client and the
Candidate(s)
8.0 REMITTANCE:
8.1 That the Client shall make all necessary arrangement to assist the Candidate (employee) in the regular
remittance agreed between the Candidate(s) and the employer of wage(s) and governed by applicable
employment laws; salary in payment and other applicable payments such as taxes, insurances, pension to
the designated beneficiary’s chosen or qualifying/allowed/applicable banking channels for the return of
employment services the Candidate(s)/worker(s) has been appointed to deliver. Including another qualifying
employment benefits extended to other workers.

9.0 RESPONSIBILITIES OF THE CLIENT:
9.1 That the Client will exert all possible efforts to enhance the welfare and protect the rights of the
Candidate(s)/worker(s) hired under the agreement in accordance with the applicable laws and or under
any regulations applicable in the employment jurisdiction in accordance further with the best possible
treatment already extended to other workers in the same workplace.
9.2 That the Client or successful Candidate will make necessary travel arrangements to move the candidate
to the worksite or country of employment within calendar days from the date of scheduled departure as
specified by the Client upon completion of all requirement as requested by the Client and the Rules and
Regulations governing the employment of the Candidate(s)/worker(s) as an overseas or local hired worker(s)
before the local Immigration Officer(s) or equivalent local Government Employment Agency applicable to
the country of employment.
9.3 That the Client shall reimburse/compensate successful Candidate/worker fully if the decision to
employ the candidate has been reversed for no valid reason after the Candidate has made necessary and
personal costly arrangements to move or travel to the worksite or country of employment as agreed and
arranged with the Client.
9.4 That the Client shall inform the appropriate local Government Agency in the employment
jurisdiction and or equivalent applicable Foreign Government Agency and nominated next of kin that may
be representing the Candidate(s)/employee’s family members and country of origin or as a local citizen(s)
of the Candidate(s)/Employee’s termination of work due to cause of death or profoundly serious accident.
10.0 SETTLEMENT OF DISPUTES:
10.1 All disputes between Client and Candidate(s)/worker(s) arising from the employment arrangement
between the Candidate(s)/worker(s) and Client shall be settled by applicable laws of the (name of
jurisdiction with laws will apply) and, or other possible applicable Employment Law and Laws. However,
disputes may be settled amicably through negotiations between participants without the need for escalating
to the courts or involving third parties or requiring legal representation.
10.2 In case the amicable settlement fails, such disputes shall be decided by binding arbitration, to be
conducted in (name of jurisdiction laws will apply), in accordance with (name of actual laws or arbitration
as widely referred to or known as) Rules and Procedures then effect. However, notwithstanding the
foregoing, either party may seek preliminary injunctive relief in a court of competent jurisdiction, pending
resolution of the dispute to arbitrate.
10.3 In the event of any dispute between the Client and the Candidate(s), whether it results in proceedings
in any court in any jurisdiction or in arbitration, the parties could knowingly and voluntarily, and having
had an opportunity to consult with counsel, waive all rights to trial by jury, and agree that any and all
matters shall be decided by a judge or arbitrator without a jury to the fullest extent permissible under
applicable law. To the extent applicable, in the event of any lawsuit between the Client and the Candidate(s)
arising out of or related to this agreement, the Client and the Candidate(s) may prepare and timely file in
the applicable court a mutual consent to waive any statutory or other requirements for a trial by jury.
10.4 Any dispute(s) between the Client and Global Network Recruitment Ltd arising from either the use
of the Global Network Recruitment Ltd’s website www.gnr-app.com, or information or services or products
provided or accessed or acquired via the website(s) or web/app www.gnr-app.com or internal database or
telephone or email or video communication(s) or promotion(s) or marketing or advertising shall remain
under the overall jurisdictions of the English Law and the English Courts under the Laws of England and
Wales as the country/countries Global Network Recruitment Ltd as a business or as a company or activities
are established and registered.
10.5 The English Laws and English Courts under the Laws of England and Wales shall take precedence
over any other laws in regard to the use of services, products, and any dispute(s) that may arise. The
governance of Global Network Recruitment Ltd’s business practices, policies, procedures, systems,
regulations, and guidelines shall remain overall under the Laws of England and Wales. Any dispute(s) that
arise can be settled amicably and to satisfactory for both parties under the English Courts and the Law of
England and Wales.

11.0 CONFIDENTIALITY:
11.1 Global Network Recruitment Ltd and the Client shall not, at any point of time reproduce, disclose
to any person, firm, or enterprise, or use for its own benefits, confidential information which will also
include information received from a third party by Global Network Recruitment Ltd and the Client that
both parties are bound under the terms of this agreement to not disclose such information. It is understood
that said any confidential information shared shall remain the sole property of the Client, or Global Network
Recruitment Ltd, or such third party as the case may be.
12.0 INDEPENDENT CONTRACTOR:
12.1 Global Network Recruitment Ltd, as service provider expressly understands and agrees that the business
relationship with the Client shall be that of an independent contractor and not that of an employee, officer,
agent or otherwise. Global Network Recruitment Ltd shall have no restrictions placed by the relationship
on the ability to provide services to companies other than the Client, except as specifically set forth herein.
Global Network Recruitment Ltd and the Client shall have no authority, express or implied, to bind both
parties, to assume or create any obligation, to enter into any agreement, to accept any order, or to bind or
obligate Global Network Recruitment Ltd and the Client in any way, to renew any debt or obligation for or
on account of Global Network Recruitment Ltd or the Client, or to make any representation or warranty on
behalf of Global Network Recruitment Ltd or the Client, without Global Network Recruitment Ltd or the
Client’s prior written consent. Neither party shall make any representation that would create apparently
agency, employment, or partnership. Neither party shall be responsible for any obligations nor expenses
of the other except as expressly authorized to be incurred in the performance of this Agreement.
13.0 WARRANTIES; INDEMNIFICATION; LIMITATION OF LIABILITY
13.1 The Global Network Recruitment Ltd and the Client hereby warrants that it shall comply with
all laws and statutory and regulatory requirements applicable to this Agreement and both parties’
performance hereunder and pay all applicable taxes in their respective jurisdictions.
13.2 The Global Network Recruitment Ltd hereby warrants that the Candidate(s) referred to by the
Global Network Recruitment Ltd to Client shall be Candidate(s) whose qualifications and other
specification(s) meet the requirement(s) of Client as communicated to Global Network Recruitment Ltd for
the purpose from time to time and are legally entitled to work in (name of the country of employment).
13.3 Global Network Recruitment Ltd hereby represents and warrants that it shall refer Candidate(s)
to Client solely on the basis of their qualifications, and without discrimination as to race, color, religion,
national origin, sex, age, disability, creed, marital status, or sexual orientation.
13.4 That both parties, Global Network Recruitment Ltd and the Client agrees to defend, hold
harmless and indemnify Global Network Recruitment Ltd or the Client from claims, actions, suits, injuries
(including death), causes of action, penalties, interest, additional taxes, demands, and expense awards
asserted or brought against the Client or Global Network Recruitment Ltd (a) for any breach/default while
rendering services under this Agreement, (b) by a third party for any act or omission of Global Network
Recruitment Ltd or of the Client, (c) caused by or resulting from the failure of Global Network Recruitment
Ltd or the Client to fully comply with applicable laws, regulations, or governmental directives by a third
party regarding any breach of intellectual property rights and/or any confidentiality obligations.

14.0 TERMINATION:
14.1 This Terms of Business Agreement shall be in effect for a period of short term, governed by the Client’s
continued use of our services or products or information or our website(s) www.gnr-app.com or and
www.gnr-app.co.uk effectively for one (1) year from the date appearing herein below unless terminated by
either party with prior thirty (30) days prior written notice. Unless either party notifies the other of its
termination, this agreement shall remain for (one) 1 year.
